These Terms of Service ("Terms") govern your access to and use of the software-as-a-service platform operated by Coconut Ventures LLC ("Company", "we", "us", or "our"), located at coco-ventures.com, including all associated features, tools, APIs, and subscription services (collectively, the "Service").

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Service.

2. Description of Service

Coconut Ventures provides a cloud-based eCommerce management platform that enables users to:

• Connect and manage multiple marketplace sales channels (e.g., Amazon, Back Market, Shopify, eBay) from a single dashboard.
• Synchronize inventory across connected marketplaces in real time.
• Manage orders, listings, and fulfillment workflows.
• Access analytics, reporting, and business intelligence tools.
• Utilize API integrations and automation features.

The Service is delivered entirely online as a software-as-a-service (SaaS) product. No physical goods are sold or shipped.

3. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service. By creating an account, you represent and warrant that you meet this eligibility requirement and that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.

4. Account Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.
• Keeping your account information current and accurate.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Subscription Plans and Pricing

The Service is offered through various subscription plans as described on our Pricing page. Key terms:

• All prices are displayed in US Dollars (USD) unless otherwise stated.
• Subscription fees are billed on a recurring monthly or annual basis, depending on the plan selected.
• Prices are subject to change with 30 days' prior notice to active subscribers.
• All fees are exclusive of applicable taxes, which will be added where required by law.
• Payment must be made via an authorized payment method on file.
• All payment transactions are processed securely through PCI DSS-compliant payment processors.

6. Free Trial

We may offer a free trial period for new subscribers. During the trial:

• You will have access to the full features of the selected plan.
• No payment information is required to start the trial.
• At the end of the trial period, you must subscribe to a paid plan to continue using the Service.
• We reserve the right to modify or discontinue free trial offers at any time.

7. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Please refer to our Refund Policy for complete details on cancellations, prorated refunds, and our money-back guarantee.

• Cancellation takes effect at the end of the current billing period.
• You will retain access to the Service until the end of your paid period.
• No partial refunds are issued for unused portions of the billing period, except as described in our Refund Policy.

8. Your Data

You retain all rights to the data you upload, input, or generate through the Service ("Your Data"). By using the Service, you grant us a limited license to process, store, and display Your Data solely to provide and improve the Service.

• We will not sell, share, or use Your Data for purposes other than providing the Service.
• Upon account termination, you may request an export of Your Data within 30 days.
• After the 30-day data export period, we may delete Your Data from our systems.
• We implement industry-standard security measures to protect Your Data, including 256-bit encryption at rest and in transit.

9. Acceptable Use

When using the Service, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to our systems, other accounts, or interfere with Service operations.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Transmit viruses, malware, or other harmful code through the Service.
• Use automated tools to scrape, crawl, or otherwise extract data from the Service beyond authorized API usage.
• Sublicense, resell, or redistribute the Service without our prior written consent.
• Use the Service in a manner that could damage, disable, or impair our infrastructure.
• Exceed the usage limits of your subscription plan.

10. Service Availability and SLA

We strive to maintain 99.9% uptime for the Service. However, the Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice where possible).
• Emergency maintenance or security patches.
• Third-party service outages beyond our control.
• Force majeure events.

We are not liable for any losses arising from Service unavailability.

11. Third-Party Integrations

The Service integrates with third-party platforms such as Amazon, Back Market, Shopify, and eBay. When connecting third-party accounts:

• You are also subject to the terms and conditions of those platforms.
• We are not responsible for the availability, accuracy, or policies of third-party platforms.
• Third-party API changes may temporarily affect Service functionality.
• Your marketplace credentials are encrypted and stored securely.

12. Intellectual Property

All content, software, technology, and intellectual property comprising the Service, including but not limited to text, graphics, logos, code, and documentation, is the property of Coconut Ventures LLC and is protected by United States and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, or otherwise use any part of the Service without our prior written consent.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Coconut Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the total fees you paid to us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Coconut Ventures LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your use of the Service, or your violation of any rights of a third party.

15. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms.

16. Modifications to Terms

We reserve the right to update or modify these Terms at any time. We will notify active subscribers of material changes via email at least 30 days before they take effect. Your continued use of the Service following the effective date of changes constitutes your acceptance of those changes.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and Coconut Ventures LLC regarding the use of the Service.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New Mexico.
